No money is transferred outside India.

Does that mean FEMA and ODI compliance do not apply?

Not necessarily.

The common mistake is assuming that Overseas Direct Investment begins only when money leaves India.

A foreign-equity acquisition, guarantee, share swap, capitalisation or non-cash transaction may create an overseas-investment event even when the outward remittance is zero.

The transaction should be examined in the following order:

  1. Identify the Indian investor

The route may differ for an Indian company, LLP, resident individual, trust or society.

  1. Classify the investment

An acquisition involving unlisted foreign equity, control or a qualifying interest in a listed foreign company may constitute ODI.

A smaller non-controlling listed investment may fall under Overseas Portfolio Investment.

  1. Identify the acquisition method

Shares may be received through:

• Cash subscription
• Share purchase
• Share swap
• Capitalisation
• Rights or bonus issue
• Gift
• Services or non-cash consideration

The agreement, valuation, accounting entries and commercial facts must tell the same story.

  1. Build the ODI compliance file

The file may need to address:

• Investor and foreign-entity eligibility
• Ownership and control
• Valuation
• Form FC
• UIN
• Designated AD bank
• Evidence of investment
• Annual Performance Report
• Step-down subsidiaries
• Repatriation and disinvestment
• FLA reporting, where applicable

Non-cash ODI can be more difficult because the transaction may not automatically become visible to the bank.

The solution is to prepare a clear memorandum explaining the permission, consideration, valuation, accounting and reporting—and engage with the designated AD bank before completion.

ODI begins when foreign rights, obligations or control are created, not merely when money is remitted.
